These Terms and Conditions ("Terms") govern your use of the services provided by Prateeksha Web Design("we", "us", "our") and your access to our websites, digital products, and related services. By engaging us for any project or using our website and services, you agree to be bound by these Terms.
We provide website design, development, UI/UX, branding, eCommerce setup (including Shopify and other platforms), custom web applications, digital marketing, SEO, maintenance, hosting management, consulting, and related services as outlined in our proposals, quotations, and service agreements.
The exact scope of work, features, timelines, and deliverables will be defined in the respective project proposal, order, or contract accepted by the client.
All proposals and quotations are valid for a limited period as mentioned in the document (or 15 days by default). The project is deemed accepted once the client confirms in writing (email/PO/sign off) and pays any required advance.
Any work beyond the agreed scope (new features, additional pages, integrations, change in design direction, etc.) will be treated as a change request and may be billed separately.
Clients are responsible for providing accurate, complete, and timely information required to execute the project, including but not limited to:
The client confirms that all content and materials supplied do not infringe any copyright, trademark, or applicable law. The client shall remain fully responsible for all content used on the website.
Payment terms shall be specified in the project proposal or invoice. Unless otherwise agreed in writing:
Delayed payments may result in suspension of work, withholding of delivery, or disabling of the website until dues are cleared. Late payment fees or interest may apply where specified.
Our proposals generally include a defined number of design and content revisions. Minor corrections and tweaks within the agreed scope are included.
Major changes, redesigns, new functionality, or additional modules requested after approval of earlier stages may be charged separately, based on our prevailing hourly or module pricing.
Timelines for project milestones and delivery will be mutually agreed at the start of the project. These timelines are estimates and assume the client provides all required inputs and approvals on time.
Delays in client communication, feedback, or content submission may result in revised timelines. We are not responsible for delays caused by third-party providers (hosting, domain, payment gateways, etc.).
Where we arrange hosting, domains, SSL certificates, or third-party tools (e.g. Shopify, WordPress plugins, SaaS APIs), these may be subject to separate terms and charges from the respective providers.
We are not liable for downtime, data loss, or service issues caused by third-party providers. Renewals of hosting, domains, and licenses are the client's responsibility unless a separate maintenance or retainer agreement is in place.
The client is solely responsible for ensuring that their website, content, and business operations comply with applicable laws and regulations, including but not limited to:
We can assist with implementation of Terms & Conditions, Privacy Policies, and other legal pages based on client inputs or templates, but we do not provide legal advice. Clients are advised to consult a qualified lawyer for legal review and compliance.
Upon receipt of full payment, the client is granted rights to use the final website design, code (excluding proprietary or licensed components), and other deliverables created specifically for the project.
Prateeksha Web Design retains:
All third-party assets (fonts, stock images, plugins, themes, scripts, etc.) remain subject to their own licenses.
We may implement SEO best practices, performance optimisations, and marketing recommendations as part of the project or a separate service. However, we do not guarantee any specific search engine ranking, traffic volume, or business results, as these depend on multiple external factors.
Unless explicitly included in the proposal, ongoing support, maintenance, backups, updates, and security hardening are not part of the initial project fee.
Such services may be provided under a separate maintenance or retainer plan, which will define response times, SLAs, and scope of support.
We respect your privacy and agree to keep all non-public business, technical, and personal information provided by the client confidential, except where disclosure is required by law or necessary to perform the services (e.g. to trusted subcontractors under similar confidentiality obligations).
To the maximum extent permitted by law, Prateeksha Web Design shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities, arising out of or in connection with our services or the use or inability to use the website.
In all cases, our total aggregate liability shall be limited to the total amount actually paid by the client to us for the specific project giving rise to the claim.
The client agrees to indemnify and hold harmless Prateeksha Web Design, its directors, employees, and agents from any claims, damages, liabilities, or expenses arising from:
Either party may terminate the project or ongoing service with reasonable written notice. Upon termination:
We shall not be liable for any delay or failure to perform our obligations due to events beyond our reasonable control, including but not limited to acts of God, natural disasters, war, strikes, pandemics, or failures of third-party networks and infrastructure.
We may update or modify these Terms from time to time. The updated version will be posted on our website with a revised "Last Updated" date. Continued use of our services after such changes constitutes acceptance of the revised Terms.
These Terms and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of India. The courts of Mumbai, India, shall have exclusive jurisdiction.
